Nscale Secures $3.36 Billion in Pre‑IPO Convertible Financing to Fuel AI Cloud Expansion

AI cloud and infrastructure provider Nscale announced on September 25, 2026, that it has raised $3.36 billion through pre‑IPO convertible loan notes. The financing was led by hedge fund Third Point and includes other major participants such as Nvidia, Apollo‑managed funds, Citadel, Hudson Bay Capital, and the Abu Dhabi Investment Council.

The raise comprises two tranches: $2.36 billion was delivered at closing, while Nvidia’s $1 billion portion is scheduled for mid‑November. Under the terms, the notes convert automatically into equity—ordinary shares for most investors and non‑voting shares for Nvidia—when Nscale completes its U.S. IPO.

This financing follows Nscale’s filing of its S‑1 registration statement in mid‑September for an IPO on the New York Stock Exchange. The filing revealed the company had reported $140.6 million in revenue and a $1.02 billion net loss for the first half of 2026. Nscale also disclosed over $103 billion in total contracted value, with significant exposure to major clients like Microsoft and Anthropic.

Nscale positions itself as a vertically integrated “neocloud,” offering AI infrastructure that spans software, GPU clusters, data centers, and power—sometimes directly owned or co‑developed. Its global footprint includes both company‑owned campuses and partner sites, such as a West Virginia facility designed for multi‑gigawatt power capacity.

The size and structure of this financing highlight both investor confidence in Nscale's role in powering AI demand and underlying risks. Many contracts are yet to translate into active capacity or revenue, and the convertible nature of the notes means they initially act as debt. Observers note the financing helps bridge the gap between contractual commitments and realized operations amidst a massive scale‑up.

As Nscale prepares for its IPO, financial market participants will watch closely whether the company can deliver on its massive infrastructure contracts, scale operating revenue, and convert its order backlog into sustainable cash flows. The forthcoming deployment of Nvidia’s $1 billion tranche and the specified conversion terms of the convertible notes will also be key milestones.
